Situation

Zeidel & Associates represented a hospitality group in connection with the lease of a prominent, legacy restaurant space in a mixed-use property. The space had historically been owner-operated and carried significant goodwill associated with the prior concept, creating competing expectations among the parties regarding branding, operations, and control going forward.

The transaction presented a number of complexities. The landlord had not previously leased the space and provided an unusually complex form lease that required substantial revision. In addition, critical portions of the premises included areas that were not fully within the landlord’s ownership control, and the property was subject to a condominium structure that introduced additional layers of regulation and operational coordination. Compounding these issues, the landlord was unwilling to provide customary tenant protections regarding the condition of the premises or abatement remedies in the event of disruption.

Approach

We undertook a comprehensive review and restructuring of the lease to address both legal and operational risk.

Given the absence of meaningful landlord representations, our team recommended an independent diligence process of existing legal violations, to assess potential exposure. We then negotiated self-help and other protective provisions to mitigate risk where traditional remedies were not available. Regarding the portions of the premises that were subject to third-party control, we secured protections for the tenant in the event access to those areas were restricted or revoked.

The condominium regime required careful navigation. While the governing documents imposed certain theoretical constraints, they did not consistently reflect actual operational practices. We worked to align the lease with the practical realities of the property, and secured appropriate non-disturbance protections for the tenant from the condominium association.

In parallel, we negotiated key business terms that were central to the client’s operational flexibility. The parties initially contemplated continuation of the existing concept, but had differing views on its future direction. We ultimately structured the agreement to allow the tenant to introduce a new concept, enabling greater control over design, construction, branding, and menu development.

We also resolved issues relating to construction, access, and coordination, including the tenant’s extensive buildout obligations, overlapping condominium repair work, ongoing landlord operations in adjacent areas, and access to shared facilities such as restrooms and egress pathways. In addition, we negotiated revisions to the guaranty structure to limit the guarantor’s exposure and limit the scope of so-called “good guy” conditions.

Result

The final lease provided the client with the flexibility to redevelop the space under a new concept while managing a challenging risk allocation environment.
