Robin Zeidel recently led a session on structuring food and beverage management agreements at the Fall 2022 meeting of the Academy of Hospitality Industry Attorneys in Louisville, KY. Robin walked attendees through a sample letter of intent to outsource the management of a rooftop bar and highlighted critical deal points to consider, among them being:
- Who would own the concept and other intellectual property of the establishment
- Who should have access to bank accounts and handle monthly reporting and financial statements
- Fee structures
- How to handle short-fall funding if the revenue generated does not cover the expenses of the operation
- Brand standard compliance
- Budget issues
- Termination rights
- Exclusivity
The session included the presentation followed by a question-and-answer segment.
