Robin Zeidel Presents Session on Structuring Food and Beverage Management Agreements at the Fall 2022 Meeting of the Academy of Hospitality Industry Attorneys

Robin Zeidel recently led a session on structuring food and beverage management agreements at the Fall 2022 meeting of the Academy of Hospitality Industry Attorneys in Louisville, KY. Robin walked attendees through a sample letter of intent to outsource the management of a rooftop bar and highlighted critical deal points to consider, among them being:

• Who would own the concept and other intellectual property of the establishment
• Who should have access to bank accounts and handle monthly reporting and financial statements
• Fee structures
• How to handle short-fall funding if the revenue generated does not cover the expenses of the operation
• Brand standard compliance
• Budget issues
• Termination rights
• Exclusivity

The session included the presentation followed by a question-and-answer segment.
