It is with great pride and pleasure that I announce the one year anniversary of Zeidel & Associates P.C. We have many to thank for our successes this year – first and foremost, our clients, who inspire us to strive for the best in everything we do. Notable transactions over the last year include:

Architecture, Design and Construction:

  • Representing the purchaser of a New York City hotel in the retention of contractors in connection with a large renovation project.
  • Representing the owner of a resort in the retention of the entire design and construction team in connection with a full hotel renovation.
  • Representing the owner of a resort in its retention of a design/build contractor to upgrade its reverse osmosis water system.
  • Representing the owner of a hotel in developing a new public artwork program and the commissioning of new original artwork for installation.
  • Representing the purchaser of an urban hotel with respect to its investigation by the Department of Justice as regards ADA compliance matters.

Sales and Acquisitions:

  • Representing a prospective purchaser of the promissory note secured by an urban hotel in connection with its diligence investigations.
  • Representing the purchaser in its acquisition of a restaurant and related assets which will be renovated, upgraded and rebranded.Representing the seller of two hotels in Manhattan, including related debrandings and close out of post-closing transition obligations.

Retail and Third Party Operators:

  • Representing the owner of a boutique hotel in connection with the drafting and negotiation of a food and beverage management agreement covering all F&B facilities and services.
  • Representing a global company as regards its liability as guarantor under retail leases entered into by its subsidiary company.
  • Representing the owner of a large suburban hotel in connection with the lease of its fitness center to a new tenant.
  • Representing a retail tenant in connection with the negotiation of a ten year lease extension and store renovation in downtown Manhattan.
  • Representing the owner of a ski resort in connection with a variety of retail leases, including café, art gallery, book store/gift shop and apparel store.
  • Representing the owner of a resort in connection with a variety of retail leases, including jewelry store and apparel store, as well as brokerage agreements and termination of existing tenancies.

Office and Corporate Leasing:

  • Representing a real estate marketing and consulting company in its assumption of a lease for new corporate offices.
  • Representing a publicly traded global company in connection with the space planning, design, construction and LEED certification effort for its corporate headquarters relocation.
  • Representing a building owner in connection with the enforcement of remedies and settlement of disputes against various tenants and subtenants.

In addition, this year I was accepted as a member of the Academy of Hospitality Industry Attorneys, and have been invited to speak at its upcoming fall conference.
