Situation

Zeidel & Associates represents a leading national hotel real estate investment, development, and management company across its portfolio of properties. At one of the client’s resort properties located in a small town in upstate New York, the client faced challenges executing retail leases within the resort despite strong interest from prospective tenants. While letters of intent were frequently signed, negotiations often stalled before reaching a finalized lease.

It became clear that because most prospective tenants for the resort retail spaces were small, local businesses – often “mom and pop” operators, they would find the client’s standard lease form overly complex and difficult to navigate. The lease form, originally developed for the client’s nationwide portfolio, was tailored to large-scale or national retail tenants and was not well-suited to the smaller, independent operators the resort attracted.

 

Approach

Zeidel & Associates took a thoughtful and thorough approach to revising the lease form. Working closely with the client, the team conducted a comprehensive review to identify and eliminate provisions that were unnecessarily burdensome or overly sophisticated for small-scale tenants.

Multiple iterations of a streamlined lease form were developed, with a focus on simplifying legal language and removing provisions that were irrelevant or off-putting to local operators, all while preserving essential protections for the client. The revised lease was crafted to be more accessible and easier to negotiate, enabling smoother transactions while maintaining the landlord’s risk management and operational objectives.

 

Result

The client successfully executed a lease with a small, local operator – the first to be finalized at the property after numerous failed negotiations using the original lease form. The streamlined version has since become the preferred lease for similar tenant profiles, allowing the client to more effectively activate its retail spaces, enhance the guest experience, and improve overall operational profitability.
