Situation
Zeidel & Associates represented the ownership group of an iconic hotel on Manhattan’s Upper West Side in engaging a new operator for the hotel’s bar, located adjacent to both the hotel and a historic theater. The bar had been closed since the COVID pandemic, and the reopening involved a complete renovation and expansion to reestablish it as a premier dining and social destination.
Approach
The project required collaboration between the client and the operator on every detail of the renovation, including design, plans, specifications, all new furniture, fixtures, and equipment, cosmetic upgrades, and the addition of a staircase connecting the main level to a lower-level dining room, kitchen, and ancillary spaces. The cost and funding of the renovation involved a complex financing structure, which needed to be clearly addressed in the agreement.
Zeidel & Associates negotiated a bar operations agreement that not only formalized the operator’s role but also included provisions for cross-marketing the bar with the hotel to leverage both brands’ reputations. Although the chosen operator was a successful and well-known NYC hospitality group, the client required strong contractual protections. These included termination rights if the bar failed to meet performance expectations, as well as personal obligations from the principals of the operator to ensure fulfillment of payment and performance commitments.
The agreement also incorporated the perspectives of the many stakeholders within the ownership group and addressed the hotel’s existing union agreement, ensuring that the bar’s operations would comply with all labor-related obligations.

The finalized agreement positioned the hotel for a successful bar relaunch, balancing creative collaboration with essential business protections.
