Situation

Zeidel & Associates represented an innovative and successful hospitality company in the expansion of one of its iconic restaurant brands into a major cultural and economic city in east Asia. The licensed location would be adjacent to a progressive retailer with whom the client had previously co-located this same brand, creating a proven synergy between the two concepts. In this arrangement, the licensee of the restaurant brand was also the licensee of the retailer’s brand, creating unique opportunities and complexities for coordination.

Approach

The firm negotiated a comprehensive license agreement between the client and the licensee that also addressed the rights and interests of the adjacent retailer. Under the agreement, the licensee would supply food, beverage, merchandise, music, and décor necessary for the restaurant’s operation in accordance with the brand’s operating standards. The client’s role included collaborating on the planning, development, and design of the restaurant, assisting with day-to-day operations and management, and overseeing food quality.

Because the retailer had approval rights over the restaurant’s design, interior signage, FF&E, operating supplies and equipment, and all co-branded items (both for use in the restaurant and for sale to the public), the license agreement was drafted to reflect these rights while preserving the client’s ability to protect its brand standards. Zeidel & Associates also addressed the fact that the restaurant’s name was not trademarked in Korea, ensuring protection of the brand in the new market.

While the agreement was governed by U.S. law, the firm incorporated provisions to address country-specific issues such as bankruptcy. The geographic distance between the client’s U.S. headquarters and restaurant also required careful planning regarding the travel and lodging of the client’s personnel and the frequency of their visits.

Result

The final agreement provided a solid framework for the successful launch of the restaurant in east Asia, balancing the rights of the licensee, the retailer, and the client while ensuring brand consistency and operational excellence.
