Representing Sellers and Buyers of Commercial Real Estate and Commercial Businesses

Zeidel & Associates represents sellers and buyers of commercial real estate throughout the country. We handle the sale and acquisition of hotels and resorts, office buildings, mixed-use properties, and others, negotiating the purchase and sale agreement, as well as the numerous ancillary agreements associated with these transactions. Further, the firm represents sellers and purchasers of commercial businesses, such as restaurants, with related franchise agreements and lease assignment documentation.

We are particularly experienced and knowledgeable about the sale and acquisition of hospitality properties. Firm founder Robin Zeidel, a former Assistant General Counsel of Starwood Hotels & Resorts Worldwide, Inc., has decades of experience handling these uniquely complex transactions. Our acute understanding of the process and the expectations of all parties involved enable us to guide our clients through the labyrinth of these complicated deals smoothly with relative ease and efficiency.

Facilitating the Transaction

For buyers, we provide counsel throughout the due diligence phase, examining leases, management and franchise agreements, and other related contracts and documentation.

For sellers, among our many value-added offerings are assisting with retaining brokers, proactively addressing title and other possible property issues, and compiling property-specific information for disclosure to potential buyers.

Partnering with Law Firms on Major Hotel Transactions

Our attorneys are especially skilled at managing the many moving pieces associated with selling hotels. While we have the experience and resources to handle all facets of the transaction in-house, we often are retained as special counsel to partner with large law firms to manage particular aspects of a transaction, to provide an equivalent skill level with a more competitive pricing structure. We are accustomed to collaborating with law firms of all sizes and specialties – such as liquor and labor counsel — to achieve our clients’ goals.
